Fieldgain

Terms (DRAFT)

DRAFT: not yet reviewed by a solicitor. This document is a working draft and may change. Points marked ⚖️ are to be confirmed by a solicitor.

1. Who we are

Fieldgain is run by Tim Johnson (trading name or company name, number and registered address: ⚖️ to be confirmed) as part of the Staniforth Planning Desk. Contact: hello@fieldgain.co.uk.

2. What we do

We introduce landowners, developers and partner ecologists, and help match biodiversity units with developers who need them. We do not lease, buy or take any interest in your land. We are not a responsible body, solicitor, tax adviser, land agent or ecologist, and nothing we say is legal, tax or financial advice.

3. Estimates

Any price, unit number or earning we give before a survey and a signed contract is an estimate, not an offer or guarantee. There is no guarantee of a buyer.

4. Fees

Landowners: listing is free. If units are sold to a buyer we introduced, you pay 5% of the sale price, minimum £1,000. It is due only once the sale has completed and you have received payment. What counts as "completion", including how staged payments are treated: ⚖️ to be confirmed.

Developers: a fixed fee of £500 when you accept a quote for units through us. Whether it is refundable if the landowner withdraws before contract: ⚖️ to be confirmed.

Partner ecologists: may pay us a referral fee. We always tell you about it, as a separate line, before you instruct them.

Whether fees include or exclude VAT: ⚖️ to be confirmed. Each fee is confirmed in a short written agreement before work starts.

5. Introductions

If you complete a deal with a party we introduced within a set period of the introduction (length of period: ⚖️ to be confirmed), our fee still applies, even if it completes outside Fieldgain.

6. Your agreements

Any conservation covenant, section 106 agreement, habitat management plan or sale contract is between you and the other parties. It usually lasts at least 30 years and binds future owners of the land. Take your own legal, tax and financial advice. Tenants need landlord consent.

7. Leaving

Landowners can remove a listing at any time, free, by emailing us. Fees only apply to deals already introduced (clause 5).

8. Liability

We take reasonable care. We are not liable for decisions made on estimates or general information, or for the acts of developers, ecologists or responsible bodies. Liability cap: ⚖️ to be confirmed. Nothing limits liability that the law does not allow to be limited.

9. Complaints and law

Email us first and we'll reply within 14 days. These terms are governed by the law of England and Wales.
